Terms of Service

Welcome to Orpheus! Orpheus provides AI-powered audio transcription, translation, speech processing, and related tools and APIs (collectively, the "Service"). These Terms of Service ("Terms") are entered into by Orpheus and the individual or entity accepting these Terms ("Customer," "you," or "your") and govern your access to and use of the Service. By using or accessing the Service, you agree to these Terms and our Privacy Policy, which explains how we collect and use your information.

To use the Service, you must be at least 13 years of age (for users in the United States) or 16 years of age (in other jurisdictions). If you are under 18 years of age, you may need to obtain the consent of a parent or legal guardian, and they may be required to accept these Terms on your behalf.

1. Your Account

Use of the Service may require the creation of an account. You agree to provide accurate, complete, and current account information at all times. You are responsible for maintaining the confidentiality of your account and password, including restricting access to your computer and/or account. You must not share your account credentials with or allow access to your account by any other person. If you know or have reason to suspect that your account has been compromised, you agree to notify us immediately.

2. Your Content

A. Content. All of your content remains yours; Orpheus does not claim ownership of your content. However, in order to provide the Service to you, we need your permission and authorization. When you submit content to the Service, you grant Orpheus and any third-party services acting on behalf of Orpheus a worldwide, non-exclusive, royalty-free, sublicensable license to access, copy, modify, distribute, transmit, export, display, store, and otherwise use your content solely for the purpose of providing, maintaining, securing, and supporting the Service. You represent and warrant that our use of your content as described in these Terms will not infringe or violate any law or any third party's rights.

B. AI Inputs and Outputs. The Service uses large language models and other artificial intelligence capabilities ("AI Features"). When you submit or provide audio, text, links, graphics, photographs, video, or other materials ("Inputs") to the Service, Orpheus uses the AI Features to generate outputs based on the Inputs ("Outputs"). Inputs and Outputs are collectively referred to as "Customer Content." As between you and Orpheus, to the extent permitted by applicable law, you retain all ownership of the Inputs, you own all Outputs, and Orpheus hereby assigns to you all rights, title, and interest (if any) in the Outputs. By using the Service, you grant Orpheus a worldwide, non-exclusive, royalty-free, sublicensable license to access, copy, modify, distribute, transmit, export, display, store, and otherwise use Customer Content solely for the purpose of providing, maintaining, securing, and supporting the Service, in any and all media now known or hereafter developed.

C. No Warranty on Outputs. ORPHEUS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY OF ANY OUTPUTS. YOU SHOULD NOT RELY ON ANY OUTPUT WITHOUT INDEPENDENTLY VERIFYING ITS ACCURACY. OUTPUTS MAY CONTAIN MATERIAL INACCURACIES EVEN IF THEY APPEAR ACCURATE DUE TO THEIR LEVEL OF DETAIL OR SPECIFICITY. YOU ACKNOWLEDGE THAT THE SERVICE AND ANY OUTPUTS MAY NOT REFLECT CORRECT, CURRENT, OR COMPLETE INFORMATION.

D. Third-Party Outputs. Due to the nature of generative AI models, Outputs may not be unique, and the Service may generate outputs based on materials submitted by third parties ("Third-Party Outputs") that are similar or identical to Outputs generated based on your Inputs. You acknowledge that Third-Party Outputs are not your Outputs and you have no rights, title, or interest in any Third-Party Outputs.

E. Compliance. Orpheus may review your conduct and content to ensure compliance with these Terms. Additionally, you acknowledge and agree that Orpheus is not responsible for content shared by users through the Service.

3. Use Restrictions

A. General Restrictions. You may only use the Service to the extent permitted by applicable law, including export control laws and regulations. In using the Service, you agree not to:

  • Circumvent or violate any security or authentication measures
  • Disassemble, decompile, or reverse-engineer any part of the Service in an attempt to access source code, algorithms, or other Orpheus intellectual property
  • Access, tamper with, or use non-public areas or portions of the Service, or shared areas to which you have not been invited
  • Probe, scan, or test the vulnerability of any system or network outside of an authorized bug bounty program
  • Interfere with or disrupt any user, host, or network
  • Sell the Service without specific authorization, or purchase the Service from an unauthorized seller
  • Send unsolicited communications, promotions, advertisements, or spam
  • Send altered, deceptive, or false source-identifying information
  • Violate the law in any manner, including posting or sharing fraudulent, defamatory, or misleading material
  • Engage in any form of payment fraud
  • Use the Service to record or transcribe another person's voice without their consent

B. Special Restrictions on AI Features. You shall not, and shall not permit any other person to:

  • Use the AI Features or any Outputs to infringe any third-party rights
  • Use the AI Features or any Outputs to develop, train, or improve any AI or machine learning model
  • Represent that any Outputs have been reviewed or approved by Orpheus
  • Represent that any Outputs are original works or works entirely created by humans
  • Use the AI Features for automated decision-making that has a legal or similarly significant effect on individuals, except under adequate human oversight and in compliance with applicable law
  • Use the AI Features for discriminatory, harassing, harmful, or unethical purposes or effects

C. Enforcement. Orpheus reserves the right, in its sole discretion, to take appropriate action against violations of this policy, which may include removing or disabling access to content, suspending a user's access to the Service, or terminating your account.

4. Service License

Subject to your payment of fees and compliance with all other terms and conditions of this agreement, Orpheus hereby grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to access and use the Service solely in accordance with these Terms. The Service may allow you to download client software ("Software"), which may update automatically. Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to use the Software solely for the purpose of accessing the Service.

5. Beta Services

Orpheus may release products and features that we are still testing and evaluating ("Beta Services"). Beta Services are identified with a "beta," "preview," or similar designation and may not be as reliable as other Orpheus services. By using our Beta Services, you agree that we may contact you to collect feedback. Certain Beta Services may be designated as confidential prior to their general release. If you use any such confidential Beta Services, you agree not to disclose any information about those services to any other person without our permission.

6. Third-Party Services

The Service may operate on or in conjunction with APIs and other services operated or provided by third parties ("Third-Party Services"). Currently, Orpheus may use third-party AI models as Third-Party Services to generate Outputs. Third-Party Services process Customer Content to provide the Service and are subject to their own terms, data processing terms, retention settings, and availability. Orpheus is not responsible for the operation of any Third-Party Services.

7. Free and Paid Services

A. Free Tier. The anonymous demo tier includes up to 5 clips per day, each up to 90 seconds in length. The free tier does not require registration or a credit card. Availability and features of the free tier may change at any time.

B. Payment. Certain features are paid or premium services ("Paid Services"). We will automatically charge you from the date you sign up for a Paid Service and on each periodic renewal thereafter until cancellation. If you are on an annual plan, we will send a notification email at a reasonable time before your renewal date to remind you that your plan is about to renew. You are responsible for all applicable taxes.

C. Cancellation. You may cancel Paid Services at any time. If you purchased a subscription through a third-party app store, you must manage and cancel your subscription directly through that store. Refunds are provided only when required by law or in accordance with the applicable third-party app store refund policy.

D. Price Changes. We may change fees in accordance with business needs upon the renewal of your subscription, but we will provide reasonable notice via in-app notification or a message sent to the email address associated with your account, and you will have the opportunity to cancel your subscription before the new fees take effect.

E. Payment Processing. We use third-party payment processors to process payments. Payment processing is subject to the payment processor's own terms and conditions and privacy policies.

8. Orpheus's Intellectual Property

As between you and Orpheus, the Service is owned by Orpheus and is protected by copyright, trade secret, trademark, and other laws. These Terms do not grant you any right, title, or interest in the Service, our intellectual property, or the content of others within the Service. You agree not to alter, modify, translate, or otherwise create derivative works of the Service. Additionally, we welcome comments, suggestions, or other feedback ("Feedback") about the Service, but please note that we may use Feedback without any obligation to you, even after these Terms are terminated.

9. Our Rights

Orpheus may, at any time, in its sole discretion and without liability or notice to you (except where prohibited by applicable law): (a) change part or all of the Service and its features; (b) suspend or discontinue part or all of the Service; (c) terminate, suspend, restrict, or disable your access to or use of part or all of the Service; (d) terminate, suspend, restrict, or disable access to part or all of your account or content; (e) change eligibility criteria for use of the Service.

10. Data Processing and Privacy

A. Unregistered Users. Audio and transcription results from unregistered users are handled according to the public demo retention policy then removed or made unavailable according to that policy.

B. Registered Users. Files from registered users are stored in encrypted cloud storage and handled according to the retention policy for the relevant plan and product path.

C. Model Training. Orpheus does not use Customer Content to train Orpheus-owned models by default. Any future optional training use will require clear notice and applicable consent or customer agreement.

By using the Service, you acknowledge that you have read and understood our Privacy Policy.

11. Termination

A. Term and Termination. You may stop using the Service at any time. If Orpheus reasonably believes that you have violated these Terms, that your use of the Service poses a risk of harm or loss to us or other users, or that you have no Paid Services and have not accessed our Service for 12 consecutive months, we reserve the right to suspend or terminate your access to the Service and notify you. Additionally, Orpheus may decide to discontinue the Service due to special circumstances, events beyond Orpheus's control, or legal compliance requirements. If we discontinue the Service in this manner before the end of any fixed or minimum term for which you have paid, we will refund the portion of prepaid fees for which you have not yet received the Service.

B. Survival. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORPHEUS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE. THE SERVICE (INCLUDING, WITHOUT LIMITATION, OUTPUTS) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ORPHEUS FURTHER DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ORPHEUS DOES NOT WARRANT OR REPRESENT THAT THE SERVICE AND OUTPUTS WILL: (A) BE TIMELY, UNINTERRUPTED, OR ERROR-FREE; (B) MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (C) BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

In certain circumstances, some jurisdictions do not allow the disclaimers set forth in this section, so they may not apply to you. However, the disclaimers apply to the maximum extent permitted by applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORPHEUS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE (WHETHER INCURRED DIRECTLY OR INDIRECTLY), OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE OR ANY OUTPUTS; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING ANY OUTPUTS; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. ORPHEUS SHALL HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN ANY OUTPUTS, REGARDLESS OF THEIR NATURE.

14. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Orpheus and its officers, directors, employees, and agents from and against all damages, losses, liabilities, costs, claims, demands, fines, judgments, and expenses (including, without limitation, reasonable attorneys' fees and costs) arising out of or in connection with: (a) your breach of these Terms; (b) your content, including without limitation all Customer Content; (c) your violation of any applicable law or regulation in connection with these Terms or the Service.

15. Copyright

Orpheus respects the intellectual property rights of others. We reserve the right, in our sole discretion, to remove or disable content alleged to be infringing and to terminate the accounts of actual, apparent, or repeat infringers under applicable law, including the Digital Millennium Copyright Act of 1998, without refund.

16. Dispute Resolution

A. Informal Resolution. Before filing a claim against Orpheus, you agree to first attempt to resolve the dispute informally by sending an email to [email protected], describing your claim and evidence of your relationship with Orpheus. We will attempt to resolve the dispute informally via email, telephone, or other means. If we are unable to resolve the dispute within 60 days of receipt of your initial email, you or Orpheus may initiate formal proceedings.

B. Jurisdiction. You and Orpheus agree that the resolution of claims related to these Terms or the Service shall be governed by the dispute resolution provisions in effect at the time the dispute arises.

C. Prohibition of Class Actions. You may only resolve disputes with us on an individual basis, and you may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are prohibited.

17. Modifications to Terms

We may revise these Terms from time to time and will post the most current version on this website. If a revision materially reduces your rights, we will notify you. Revisions will not apply retroactively. By continuing to use or access the Service, you agree to be bound by the revised agreement and any price changes. If you do not agree to our changes, you must stop using the Service and cancel all Paid Services.

18. Governing Law

These Terms shall be governed by the laws of the People's Republic of China, except that the laws of certain countries and regions (including the European Union) require agreements to be governed by the local laws of the user's country or region, and this paragraph does not override those laws.

19. Authorized Users

You are responsible for all acts and omissions of Authorized Users, and any act or omission by an Authorized User that would constitute a breach of these Terms if done by you shall be deemed a breach of these Terms by you. "Authorized User" means an individual employee, consultant, contractor, or agent of the Customer who is authorized by the Customer to access and use the Service under the rights granted to the Customer pursuant to this agreement, and solely for the benefit of the Customer.

20. General Provisions

These Terms constitute the entire agreement between you and Orpheus regarding the subject matter hereof and supersede and replace any other prior or contemporaneous agreements, terms, and conditions applicable to the subject matter of these Terms. Orpheus's failure to enforce a provision is not a waiver of its right to enforce that provision at a later date. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full force and effect, and an enforceable provision that most closely reflects our intent will be substituted. You may not assign any of your rights under these Terms, and any such attempt shall be void. Orpheus may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Service.
